Trustbridge Master Services Agreement (MSA)

Trustbridge – Terms of Engagement

Version: 2.1 – Effective July 18, 2025

Effective Date: Upon submission of an RFP by any party (“Client”)

This Master Services Agreement (“Agreement”) governs the relationship between any party (“Client”) submitting a Request for Partner (“RFP”) and Trustbridge, a division of Vulcury LLC (“Trustbridge”), in connection with product design, engineering, manufacturing matchmaking, and optional payment facilitation services.


By submitting an RFP to Trustbridge—whether via its platform, by email, or through any affiliated channel—Client acknowledges and agrees to be bound by this Agreement. Individual projects shall be governed by one or more written Statements of Work (“SOWs”) accepted by both parties.

1. Scope of Services

Trustbridge provides services to assist clients in bringing physical products to market, which may include:

  • Product design and engineering ideation

  • CAD development and prototyping support

  • Supplier matchmaking for manufacturing

  • Technical advisory or product commercialization support

  • Payment routing (optional)

Specific deliverables, pricing, and timelines will be outlined in a mutually accepted Statement of Work (SOW).

2. Engagement Process

Each project begins with an RFP submitted via the Trustbridge platform or by email. Trustbridge may respond with:

  • A recommendation to proceed

  • A proposed SOW with defined scope and pricing

  • A decline to engage, at its sole discretion

Engagement begins only when an SOW is accepted in writing by both parties.


3. Fees and Payment

All fees will be specified in the applicable SOW. Unless otherwise stated:

  • Invoices are due upon receipt

  • Work will not begin until any required upfront payment is received

3.1 Supplier Matchmaking

Trustbridge may introduce Client to one or more manufacturers based on project needs. These introductions are provided at no cost to the Client.

Trustbridge may receive a referral or success-based fee from manufacturers. These fees:

  • Are paid by the manufacturer

  • Do not affect pricing to the Client

  • Do not influence Trustbridge’s recommendations, which are based solely on project fit

3.2 Optional Payment Routing

If requested, Trustbridge may facilitate payment to manufacturers as a convenience service:

  • Fee: 2.5% of the transaction value, with a $250 minimum per payment

  • Trustbridge does not hold funds in escrow or trust

  • Funds are released only upon written instruction from the Client

  • Trustbridge assumes no responsibility for performance, disputes, or contract enforcement


4. Client Responsibilities

Client agrees to:

  • Provide accurate project information

  • Make all final decisions on manufacturer selection and contract terms

  • Engage directly with chosen manufacturers

  • Release Trustbridge from liability for performance, quality, or outcome of any third-party engagement


5. Intellectual Property

Each party retains ownership of its pre-existing IP.

Unless otherwise specified in an SOW:

  • Any new designs or deliverables created by Trustbridge are assigned to Client upon full payment

  • Trustbridge may retain anonymized or generalized versions of work for internal benchmarking, training, or marketing purposes (excluding sensitive or proprietary features)

6. Confidentiality

Both parties agree to maintain confidentiality of all non-public, proprietary information exchanged in the course of the engagement. This obligation:

  • Does not apply to public, previously known, or independently developed information

  • Survives for two years after project completion


7. Warranties and Disclaimers

All services are provided “as is.” Trustbridge disclaims all warranties, express or implied, including:

  • Any warranty of merchantability, fitness for a particular purpose, or non-infringement

  • Any guarantee regarding product viability, manufacturability, or market success

  • Any responsibility for third-party suppliers’ performance or deliverables

Client assumes all risk associated with supplier relationships.

8. Term and Termination

This Agreement takes effect upon the Client’s first submission of an RFP and remains in effect until terminated in writing by either party.

Termination does not affect:

  • Active SOWs

  • Outstanding payment obligations

  • Ongoing supplier engagements initiated under this Agreement


9. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of [Insert State].

Disputes will be resolved through:

  1. Good-faith negotiation

  2. If unresolved within 30 days, binding arbitration in Santa Ana, California under the rules of the American Arbitration Association


10. Miscellaneous

  • This Agreement does not create a partnership, agency, or joint venture

  • Amendments must be in writing and signed by both parties

  • Electronic signatures and agreements are fully enforceable

  • If any provision is held unenforceable, the rest remains in effect
